CONSULTING TERMS
The terms that govern how Tractor Channel Machinery delivers consulting engagements to its clients.
Scope of Engagement
Each consulting engagement with Tractor Channel Machinery is defined by a written scope of work agreed between us before the work begins. The scope sets out the objectives, deliverables, timeline, fees, and any specific assumptions. Work outside the agreed scope is treated as a separate or amended engagement and is quoted accordingly.
Client Responsibilities
The quality of our work depends in part on the quality of the information and access we are given. To get the most from an engagement, you agree to:
- Provide accurate, complete, and timely information relevant to the work;
- Make available the people, materials, and access reasonably required;
- Respond to requests and decisions within agreed timeframes;
- Designate a point of contact authorized to make decisions on your behalf.
Delays or gaps in information may affect timelines and outcomes, and may alter the fees where additional work is required as a result.
Deliverables and Acceptance
Deliverables are provided in the form agreed in the scope of work — for example, written analysis, strategy documents, or structured recommendations. Where a review period applies, you may request reasonable revisions within scope during that period. Deliverables are considered accepted once approved or once the agreed review period has passed without substantive comment.
Confidentiality
We treat the non-public information you share with us as confidential and use it only for the purpose of the engagement. We expect the same treatment of any confidential methods, frameworks, or materials we share with you. These obligations continue after the engagement ends. Where a separate confidentiality agreement is in place, it applies in addition to these terms.
Ownership of Work
Unless agreed otherwise in writing, deliverables prepared specifically for you become yours once fees for the relevant work have been paid in full. We retain ownership of our general knowledge, methods, tools, and any pre-existing materials, and we may continue to use the experience and know-how gained, provided we do not disclose your confidential information.
Independence
We act as an independent consultant, not as your employee, agent, or partner. We do not have authority to enter into commitments on your behalf unless expressly authorized in writing for a specific purpose. We may decline work that conflicts with our professional judgment or existing obligations.
Timelines
We make reasonable efforts to meet agreed timelines, but dates are estimates and depend on timely cooperation and factors that may be outside our control. We will keep you informed of material changes to a schedule as soon as we are aware of them.
Termination
Either party may end an engagement with reasonable written notice as set out in the scope of work. On termination, you remain responsible for fees for work completed and in progress up to the effective date. We will return or, at your request, securely dispose of your confidential materials, subject to any records we are required to keep.
Relationship to Other Terms
These Consulting Terms operate alongside our Terms and Conditions, Payment Policy, Refund Policy, Disclaimer, and Limitation of Liability. Where a signed engagement agreement exists, its specific provisions take precedence over any general statement here to the extent of any conflict.
